一、招标条件Tendering Conditions
东非原油外输管道EPC项目招标人为中石油管道局坦桑尼亚国家公司，项目资金来源已落实。本招标项目已按要求履行了相关报批及备案等手续，具备招标条件。The project has implemented relevant procedures according to rules, regulations, and laws .as well as the capital has been confirmed. Now we hereby invite your esteemed company to participate in this bid. The tenderee is China Petroleum Pipeline Engineering Company Ltd.
二、项目概况与招标范围 Project Overview and Tendering Scope
2.1 项目概况 Project Profile
东非原油外输管道EPC项目起点于乌干达Tilenga CPF（联络线起点），止于坦桑尼亚Tanga港，总长1539km，其中：干线1443km，联络线96km。乌干达境内392km，坦桑尼亚境内1147km；全线泵站6座，减压站2座，阀室82座，电伴热站20座（与阀室合建17座，单独建设3座）。该项目业主为道达尔勘探开发公司（上游，联络线部分）与道达尔东非中游公司。计划工期为27个月。
East African Crude Oil Pipeline EPC Project starts from Tilenga CPF, Uganda (starting point of contact line) and ends at Tanga Port, Tanzania, with a total length of 1,539km, including 1,443km trunk line and 96km connection line. 392km in Uganda and 1147km in Tanzania; There are 6 pump stations, 2 decompression stations, 82 valve rooms and 20 electric tracing stations (17 jointly built with valve rooms and 3 separately built). The project is owned by Total E&P (upstream, link line) and Total East Non-Midstream. The planned construction period is 27 months.

国内主要港口人民币交货价（含13%增值税）

2.国外投标人（非属地）INTERNATIONAL BIDDERS(Outside China bidders)：
A包，CIF货交坦桑尼亚达累斯萨拉姆港,美元价格；B包，CIF货交肯尼亚蒙巴萨港,美元价格。
PACKAGE A SHALL QUOTE CIF DARES SALAAM PORT, TANZANIA USD PRICES.
PACKAGE B SHALL QUOTE CIF MOMBASA PORT, KENYA USD PRICES.
3.乌干达合格属地投标人：LOCAL BIDDERS OF UGANDA:
乌干达现场DDP(Plot 57 Bugahya Block 8 at Bulemwa,YESIIGA VILLAGE,HOIMA, UGANDA) 美元价格，乌干达属地投标人可只参与B包投标。如果同时参与A包，A包将按照国际投标人考虑。针对属地投标人，允许分包授标。
DDP (Plot 57 Bugahya Block 8 at Bulemwa,YESIIGA VILLAGE,HOIMA, UGANDA) USD price, Ugandan bidders can only participate in Package B bidding. If participating in Package A at the same time, Package A will be considered as an international bidder. For local bidders, separate Package awarding is allowed.
2.4 交货期 Delivery time
供货商提供最短交货期。
The supplier shall provide the shortest delivery time. 
三、投标人资格要求 Bidder qualification requirement
3.1 本次招标 不接受 联合体投标。
Bids from joint venture are not accepted.
3.2 投标人须具有独立法人资格，在法律和财务上独立、合法运作并独立于招标人（招标代理机构）的制造商、或者制造商指定的授权代理商或贸易商（仅限乌干达境内的供应商）。
3.2 The bidder must have independent legal personality, legally and financially independent of the manufacturer that operates legally and independently of the tenderer (tendering agency), or an authorized agent or trader designated by the manufacturer (suppliers in Uganda only).
3.3 投标人需有相应供货业绩合同，不限数量，业绩表中产品的性能、技术参数应能适用或接近数据单中规定的工况条件。业绩表应包括工程名称、产品规格型号及主要技术参数、供货数量、使用地点、签订合同时间、有效业绩合同及合同发票复印件（提供的合同复印件至少应包括：封页；签字盖章页；合同中包含买方名称、物资名称、规格型号及技术参数、供货数量、签订时间的关键页；合同发票复印件至少应包括与合同对应的1张发票）。
The bidder must have a corresponding supply performance contract, with no limit on quantity, and the performance and technical parameters of the products in the performance sheet should be applicable to or close to the working conditions specified in the data sheet. The performance table should include the project name, product specifications and main technical parameters, supply quantity, use location, contract signing time, valid performance contract and contract invoice copy (the provided contract copy should at least include: cover; Signature and seal page; The contract contains the buyer's name, material name, specifications and technical parameters, supply quantity, and signing time. The copy of the contract invoice should include at least one invoice corresponding to the contract).
3.4 投标人提供ISO相关体系认证（有效ISO9001、45001、18001）及相关企业资质（包括但不限于营业执照或注册证书等）, 具有与本招标项目相应的供货能力，投标人需在投标文件中如实写明中标后该批货物的生产品牌，生产地址，如生产、制造加工基地；
The bidder shall provide ISO related system certification(Valid ISO9001, 45001, 18001) and relevant enterprise qualifications (including but not limited to business licenses or registration certificates, etc.), and have the corresponding supply capacity of this bidding project.
3.5 如投标人为中国注册的制造商的,须在“国家企业信用信息公示系统”网站（www.gsxt.gov.cn）未被列入经营异常名录和严重违法失信企业名单；投标人、法定代表人或者负责人未被人民法院在“信用中国”网站（www.creditchina.gov.cn）列入失信被执行人；2022年1月1日至投标截止时间，投标人或其法定代表人（单位负责人）无行贿犯罪行为（在“中国裁判文书网”网站（wenshu.court.gov.cn）查询）。
3.5 If the bidder is a manufacturer or agent registered in China, it must not be included in the list of abnormal business operations and the list of serious illegal and untrustworthy enterprises on the website (www.gsxt.gov.cn of the "National Enterprise Credit Information Publicity System"; The bidder, legal representative or responsible person has not been listed as a dishonest person subject to enforcement by the people's court on the "Credit China" website (www.creditchina.gov.cn); From January 1, 2022 to the bidding deadline, the bidder or his legal representative (person in charge of the unit) has not committed any criminal acts of bribery (check on the website (wenshu.court.gov.cn) of the "China Judgment Documents Network").
3.6 投标人未被中国石油天然气集团有限公司/中国石油管道局工程有限公司列入黑名单、暂停或取消投标资格或交易权限。
3.6 The bidder has not been blacklisted, suspended or canceled by China National Petroleum Corporation/China Petroleum Pipeline Engineering Co., Ltd.
3.7 投标人近三年在中国石油天然气集团有限公司/中国石油管道局工程有限公司所属项目中无重大质量事故、安全事故，且与CPP无法律纠纷，需提供承诺函。如制造商为中石油库内供应商，能源一号网入网状态应为：“正常”（针对入网企业）。
3.7 Bidders shall have no major quality accidents, safety accidents in projects under China National Petroleum Corporation (CNPC)/China Petroleum Pipeline Engineering Co., Ltd. (CPP) in the past three years, and no legal disputes with CPP. A letter of commitment must be provided. If the manufacturer is a supplier in CNPC's internal supplier, the access status on Energy No.1 Network shall be "Normal" (for companies within the network).
3.8财务要求：
中国境内投标人须提供近三年（2022-2024年度）的经会计师事务所或审计机构审计的完整的财务报告（须由注册会计师签字盖章）。财务报告内容至少应包括：资产负债表、现金流量表、利润表和报表附注。成立日期晚于要求年份的，从成立年起计算。如投标人的成立时间不足一个财务年度的或成立时间超过一个财务年度但尚未完成该年度财务审计的，须提供公司出具的财务报表（加盖公章）。
如投标供应商中标，采购需求人有权在合同签订前审查其财务状况（含财务审计报告），若发现投标供应商存在上述情况或风险的，采购需求人有权取消其中标资格。投标供应商需在其响应文件中提供其接受上述条款的承诺函。
中国境内及境外的投标人，需在其投标文件中提供如下承诺：我公司财务状况良好（其中资产负债率小于100%），没有处于财产被接管、破产或其他关、停、并、转状态；我公司不存在进入清算程序、被宣告破产或其他丧失履约能力的情形。如我公司中标，招标人有权在合同签订前审查我公司完整的财务报告及财务状况，若发现我公司存在上述情况或风险，招标人有权取消我公司的中标资格。
3.8 Financial Requirements:
Bidders within the territory of the People's Republic of China must provide complete financial reports audited by a certified public accounting firm or audit institution for the past three years (2022-2024 fiscal years), which must be signed and sealed by a certified public accountant (CPA). The financial reports shall include at least the following components: Balance Sheet, Cash Flow Statement, Income Statement, and Notes to the Financial Statements. For bidders established later than the required starting year, the three-year period shall be calculated from the year of their establishment. If a bidder has been established for less than one fiscal year, or has been established for more than one fiscal year but has not yet completed the financial audit for that year, it must provide the financial statements issued by the company (with the official seal affixed).
If a bidder wins the bid, the procurement demander shall have the right to review the bidder's financial status (including the financial audit report) before the conclusion of the contract. In case the procurement demander discovers that the bidder is in any of the aforementioned situations or at risk, the procurement demander shall have the right to cancel the bidder's winning bid qualification. Bidders shall provide a letter of commitment in their response documents stating their acceptance of the above-mentioned terms.
Bidders both within and outside the territory of China shall provide the following commitment in their bid documents: Our company is in sound financial condition (with an asset-liability ratio of less than 100%) and is not in a state of property custody, bankruptcy, or other suspension, closure, merger, or restructuring; our company is not in liquidation, declared bankrupt, or in any other situation that results in the loss of performance capacity. If our company wins the bid, the tenderer shall have the right to review our company's complete financial reports and financial status prior to the signing of the contract. If the tenderer discovers that our company has any of the aforementioned circumstances or risks, the tenderer shall have the right to cancel our company's bid-winning qualification.
